By accessing the Base Layer FM digital platform, you agree to be bound by these operational Terms of Service. If you do not agree with any part of these terms, you are prohibited from utilizing this site or our proprietary frameworks.

2. Nature of Operational Information

The information, frameworks, and pricing structures provided on this platform are for informational and B2B marketing purposes only. They do not constitute legally binding architectural, engineering, or structural assessments.

• No Formal Relationship: Accessing our CapEx matrices or submitting a Deal Desk inquiry does not create a formal consulting or vendor relationship.
• Execution Requirement: All facility audits, Go/No-Go sweeps, and Fractional Principal services require a fully executed Phase 1 Statement of Work (SOW) before deployment.

3. Intellectual Property Protocol

Base Layer FM retains total ownership of all proprietary assets published on this platform. This includes our specific CapEx Exposure Matrices, pre-lease operational frameworks, digital copy, and visual assets. Competitors, brokers, or third-party agencies are strictly prohibited from scraping, reproducing, or commercializing these proprietary methodologies without express written consent.

4. Limitation of Liability

Base Layer FM assumes no liability for corporate real estate or capital expenditure decisions made solely based on the public-facing content of this website. Commercial real estate transactions carry inherent risk. Base Layer FM is only liable for findings formally documented and delivered under an executed audit contract.

5. Governing Jurisdiction

Base Layer FM operates out of Northern California. These terms shall be governed by and construed strictly in accordance with the laws of the State of California. Any operational or legal disputes arising from the use of this digital platform will be resolved exclusively in the state or federal courts located within California.
